Carve-out transaction is a challenge for the different concerned parts. As carve-out accounts are not certified by a statutory auditor, the buyers must have a real comfort on the carve-out accounts in order to appreciate the value of this acquisition and to be able to quote a price. This article allows understanding key points of a carve-out in case of industry acquisition.

The report of the ad hoc interdisciplinary committee of “Club des Juristes” about “The financial loss valuation of the investor in listed companies”, on which contributed Olivier Péronnet, FINEXSI’ Partner, has been published on “Les Echos” titled “Financial loss: judges asked to check their compensation method“.
FINEXSI just published its study “Conventions réglementées : pratique des émetteurs (SBF 120) en 2014 et incidences du nouveau dispositif pour 2015″ (“Regulated agreements : overview of the issuers’ practice in 2014 and impacts of new regulatory measures in 2015”).
The study consisted in investigating the reference documents published in 2014 by the SBF 120’ issuers. The analysis of the special reports being part of the reference documents enabled Finexsi to give an overview of the practice applied by issuers on regulated agreements and to measure in which extend the AMF’s proposals contained in the recommandation n°2012-05 have been followed in 2014. The mother main objective of the study is to assess potential impacts of new regulatory measures in 2015.
This study has been carried out by the experts on « Financial Communication and regulated information » of FINEXSI.
